These Terms of Service ("Terms") govern your access to and use of the Veil Mail platform and services provided by Resonia Inc ("Veil Mail," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our services, you agree to these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Veil Mail provides an email platform that includes:

  • Transactional and marketing email sending via API and dashboard
  • Automatic PII (Personally Identifiable Information) scanning and protection
  • Email template management and campaign tools
  • Audience management and segmentation
  • Analytics and reporting
  • Webhook notifications and integrations

3. Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree not to use our services to:

  • Send spam or unsolicited bulk email
  • Send emails to purchased, rented, or harvested email lists
  • Send content that is illegal, harmful, threatening, abusive, or harassing
  • Impersonate any person or entity
  • Violate any applicable laws or regulations, including CAN-SPAM, GDPR, and CCPA
  • Send phishing emails or malware
  • Interfere with or disrupt our services or servers
  • Attempt to bypass PII scanning or other security features
  • Use our services for any illegal purpose

5. Email Sending Requirements

When sending emails through our platform, you must:

  • Have valid consent from recipients to receive your emails
  • Include accurate sender information and a valid physical address
  • Provide a clear unsubscribe mechanism in marketing emails
  • Honor unsubscribe requests promptly
  • Verify and authenticate your sending domains
  • Maintain bounce and complaint rates within acceptable limits

6. PII Scanning

Our PII scanning feature is designed to help protect sensitive data. You acknowledge that:

  • PII scanning is not 100% accurate and may not detect all sensitive data
  • You are ultimately responsible for the content you send
  • We may block or delay emails containing detected PII based on your settings
  • Bypassing or circumventing PII scanning is a violation of these Terms

7. Pricing and Payment

Our services are offered under various pricing plans as described on our website.

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or stated in our refund policy
  • We may change our prices with 30 days' notice
  • Overages may apply if you exceed your plan limits

8. Intellectual Property

We retain all rights to our platform, services, and associated intellectual property. You retain ownership of the content you send through our platform. By using our services, you grant us a limited license to process your content as necessary to provide the services.

9. Data Protection

We process data in accordance with our Privacy Policy and applicable data protection laws. For customers subject to GDPR or similar regulations, we offer a Data Processing Agreement (DPA).

10. Service Level

We strive to maintain high availability but do not guarantee uninterrupted service. Paid plans may include Service Level Agreements (SLAs) with specific uptime commitments and remedies for downtime.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEIL MAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Veil Mail and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

13. Termination

You may terminate your account at any time through the dashboard or by contacting support. We may suspend or terminate your account if you violate these Terms or for any other reason with notice. Upon termination, your right to use the services will cease immediately.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the dashboard. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
